TheCompanyandallmembersoftheBODguaranteethattheinformationdisclosedistrue,accurateandcomplete,andthattherearenofalserecords,misleadingstatementsormaterialomissions.

SpecialNote:

1. Article 9.7.1, Paragraph 1 of the "Stock Listing Rules of Shenzhen Stock Exchange"(hereinafterreferredtoas"ShenzhenStockExchangeListingRules")stipulates:"Ifalistedcompanyencounters any of the following circumstances, it may apply to the Exchange for the voluntaryterminationofitsstocklisting:...(6)Theshareholdersofthecompany,withtheaimofterminatingthelistingofthecompany"sstock,issueanoffertoallothershareholderstoacquireallorpartofthecompany"sshares,resultinginchangesinthecompany"ssharecapital,shareholdingdistribution,etc.,andnolongermeetingthelistingconditions."WafangdianBearingCo.,Ltd.(hereinafterreferredtoas"WazhouB"or"theCompany")hassubmittedthematerialsforvoluntaryterminationoflistingtotheShenzhenStockExchange(hereinafterreferredtoas"ShenzhenStockExchange")inaccordancewiththeaboveprovisionsandtheShenzhenStockExchangehasacceptedthem.IftheShenzhenStockExchangemakesadecisiontoterminatethelistingofthecompany"sstock,thecompany"sstockwillbeterminatedfromtrading.

2.AccordingtoArticle9.7.8,Paragraph3oftheListingRulesoftheShenzhenStockExchange:"Thecompanyshallpromptlydisclosetherelevantinformationregardingthedecisionmadebytheexchangeonwhethertoacceptitsapplicationfordelisting,andwarnofthepotentialriskofthecompany"sstockbeingdelisted."Therefore,thecompanyshouldissueariskwarningannouncementregardingthepossibilityofitsstockbeingdelisted.

Wafangdian Bearing Group Co., Ltd. announced the "Tender Offer Report of WafangdianBearing Co., Ltd." on January 19, 2026, and agreed to issue a comprehensive offer to allshareholdersofWafangdianBearingCo.,Ltd.otherthantheacquirer,toacquiretheirheldcompanyshares.Thetermofthisofferacquisitionis39naturaldays,startingfromJanuary20,2026(includingthatday)andendingonFebruary27,2026(includingthatday).

AccordingtothestatisticsoftheShenzhenBranchofChinaSecuritiesDepositoryandClearingCorporationLimited,asofFebruary27,2026,theshareholdersofWafangdianBwhoacceptedtheofferwere1,459households,andthetotalquantityofunrestrictedtradablesocialpublicsharespre-acceptedtheofferwas54,524,555shares.Accordingtotheeffectiveconditionsstipulatedinthe"TenderOfferReportofWafangdianBearingCo.,Ltd.",thisofferacquisitionhastakeneffect.Theliquidationandtransferproceduresforthistenderofferhavebeencompleted.WazhouGroupholds298,524,555sharesofthecompany,accountingfor74.15%ofthetotalsharesofthecompany.Thenumberofsharesheldbythepublicaccountsforlessthan10%ofthetotalsharesofthecompany.listedcompanyhasanyofthefollowingcircumstances,itmayapplytotheExchangeforthevoluntaryterminationofitsstocklisting:...(6)Theshareholdersofthecompany,withthepurposeofterminatingthecompany"sstocklisting,issueanoffertoallothershareholderstoacquireallorpartofthecompany"sshares,resultinginchangesinthecompany"ssharecapital,equitydistribution,etc.,andnolongermeetingthelistingconditions."Basedontheresultsofthisofferacquisition,thecompany"sequitydistributionnolongermeetsthelistingconditions,anditfallsunderthecircumstanceswhereitcanapplyforthevoluntaryterminationoflistinginaccordancewiththeaboveprovisions.According to the "Shenzhen Stock Exchange Listing Rules" and other relevant businessregulations, the company submitted an application for the termination of its stock listing to theShenzhenStockExchangeonSeptember14,2026,andreceivedthe"LetteronAgreeingtoAccepttheApplicationfor theTermination ofListing ofWafangdianBearing Co.,Ltd. IftheShenzhenStockExchangemakesadecisiontoterminatethecompany"sstocklisting,accordingtothe"ShenzhenStockExchangeListingRules",thecompanywillterminateitslistingandbedelisted.Thevoluntaryterminationofthecompany"slistedstockdoesnotenterthedelisting- risktradingperiod
